SPV, escrow, agency and trustee services for debt deals.
Learn moreYou drive the deal. We’ll handle the detail.
From company set-up to cross-border deals, you’re backed by people who understand what’s at stake and have the authority to act. We’ll spot blockers before they hold you up, and handle everything from governance to compliance so you can seal your next deal.
Jersey company formation services from VG get your entity set up properly, first time. You tell us what the company will do. We work with you and your lawyers on the right vehicle, its key features and your timetable. Speed matters. So does getting it right with the regulator.
To get started, we need three things: who owns and controls the company, what it will do, and when it needs to be live. Ownership and control aren’t the same thing. Someone with a small shareholding can still control a company, for example through a veto. We work out with you who needs to be disclosed and what the registry needs to see. No guesswork. No back-and-forth.
Advising a client? We fit around your timetable, not the other way round. You get a director-led team, a fixed or time-based fee quote up front, and no surprises. Once the company is formed, we keep it compliant with company secretarial, registered office and director services, all from the same team.
Company secretarial services in Jersey keep your company compliant, on record and on time. VG acts as your company secretary, provides your Jersey registered office, and handles local and overseas statutory and tax filings. Any other officers your company needs, we can provide those too.
Need directors? Our Jersey corporate director services cover both personal and corporate directors. We attend your board meetings, take accurate minutes and keep every corporate book and record in order. We also open bank accounts and manage cash, so the day-to-day running of your company doesn't land back on your desk.
A missed filing is a problem you didn't need. Your lead director is a decision-maker, not a gatekeeper, so questions get answered quickly. For law firms and advisers, that means one point of contact for your client's Jersey entities, and one less thing to chase. Setting up a new company? Start with company formation.
Corporate accounting in Jersey, done to the standard you report in. VG prepares statutory accounts under FRS 102 (UK GAAP), IFRS, US GAAP and other international standards, and files them with the relevant local authorities.
Day to day, we keep the books, produce your financial reports and management accounts, and handle tax and VAT registration and administration. When the auditors arrive, we support the audit and your internal controls. When investors ask questions, we prepare the reporting they need.
Operating in more than one jurisdiction? Then you're dealing with different local rules, different formats and different deadlines. That's a lot of time spent keeping up. Hand it to one team that keeps track of all of them. You get accurate numbers on time, a director-led team you can reach directly, and a fee quote that tells you what it costs before we start. If the work goes beyond the agreed scope, we tell you first.
Jersey Property Unit Trust administration is where many commercial property structures start. VG administers JPUTs, real estate investment trust (REIT) structures, limited partnerships and Jersey holding companies. Whether your strategy is acquisition, financing, development, letting or buy-and-hold, we run the structure behind it.
Commercial real estate is one of the largest asset classes VG administers. That includes multi-let offices in the City of London, logistics centres in the Netherlands, student accommodation in the UK, shopping centres in Italy, retail parks in Scotland and large commercially let buildings in the US. Clients and tenants include FTSE 100 and NASDAQ-listed companies.
Let's be clear. We run the structure, not the building. Property management stays with your property managers. For corporates, fund managers and their lawyers, your Jersey real estate structures stay compliant, reported and ready for your next move.
VG's Employee Incentives team acts as independent trustee for employee benefit trusts that hold and deliver shares for various plans, including LTIPs, deferred bonus plans and management incentive plans. Whether you're setting up an EBT or moving an existing one, you'll work with knowledgeable Jersey-based trustees who keep pace with your timetable.
Share plan administration for UK businesses takes the admin out of employee incentives. VG sets up, tracks and manages your discretionary incentive arrangements, so every participant record is accurate, and every vesting date is accounted for.
Participants get 24/7 access to an online platform where they can view their holdings, make elections and read plan rules and documents. Exercises and releases can be processed automatically, with vesting amounts calculated for you. Our reports support your company's tax filings and your participants' dividend vouchers.
Spreadsheets break. Your share plan shouldn't. Whether you run one plan or several, records stay accurate and reporting stays clear.
We work with your choice of legal advisers and brokers, and tailor our fees for trustee services, administration and accounting.
Islamic finance administration in Jersey means setting up and running the corporate and real estate structures behind Shariah-compliant deals. Your Shariah advisers approve the structure. VG administers it, working alongside your lawyers and advisers.
Different cultures. Different requirements. The detail has to be right, and the people running your structure need to understand why. VG was named Best Islamic Trust Formation Services Provider at the Global Islamic Finance Awards three years running, from 2016 to 2018. In practice, that has included using a Commodity Murabaha to help a client expand a property portfolio through Shariah-compliant lenders.
Wherever you are, you deal directly with the people running your structure.
Corporate transactions and restructuring need Jersey vehicles that work from signing to completion. VG sets up and administers them for target asset acquisitions, corporate restructurings, schemes of arrangement, cross-border M&A and financing.
You drive the deal. We handle the detail: forming the entities, providing directors, keeping the records and working to your lawyers' timetable. Every client relationship is director-led, so the person you speak to can make the call. No waiting while your question climbs a chain of command.
Complex or unusual? Our team has been building Jersey structures for corporate deals since 1982. Tell us what the deal needs to achieve, and we'll work with you and your advisers to deliver it. You get a fixed or time-based fee quote up front, and we flag anything outside scope before it happens.
Deal involves debt or escrow? Our Capital Markets team acts as escrow agent, loan agent and security trustee, so nothing falls between two firms.
Named people, not a department
Patrick spent more than 10 years in aircraft leasing at Stellwagen and Orix Aviation, across finance, project, investment and financial asset management roles. He then spent seven years as a corporate service provider on both the fiduciary and capital markets side, setting up structures, facilitating closings and managing client portfolios. At VG, he brings that experience to repeat structures, new platforms and complex, regulation-sensitive transactions, and to informal deal guidance where the right introduction makes the difference.
The proof? Patrick was VG Ireland’s first employee. He built it from the ground up, securing its TCSP licence from the Department of Justice, setting up its office and putting tax and regulatory compliance in place. He has executed escrow transactions under the compliance requirements of the Central Bank of Ireland, OFSI and OFAC, set up multi-jurisdictional aviation platforms for major airlines and asset managers, and sat on more than 250 boards as Director or Alternate Director.
Originators, institutions, structured finance arrangers, lawyers, private credit and asset managers, airlines, lessors, and aviation and maritime businesses looking to establish in Ireland all work with Patrick. He is an ACCA qualified accountant and holds a Bachelor’s degree in Business and Law and a Diploma in Aviation Leasing and Finance from the Law Society of Ireland.
Gabriela has spent more than a decade in Jersey corporate services, with roles at Gen II, CCS and Aztec Group before joining VG in 2022. As Head of Corporate Services, she works on target asset acquisitions, corporate restructurings, schemes of arrangement, cross-border M&A and financing transactions. She also handles sukuk and conventional bonds, together with listing agent services for TISE Category 1 and 2 listings.
The proof? When a client fell out with an investment adviser VG worked with, Gabriela resolved the situation for the client without throwing the adviser under the bus. At the time, that adviser was working with VG on one deal. It now has three structures with VG, the most recent set up in 2025, with two transactions closed in 2026.
Private equity houses, listed and private companies and governments work with Gabriela on financing transactions to acquire almost any kind of asset, from technology and AI to financial institutions, across jurisdictions. She is an Associate of the Chartered Governance Institute, and holds an Institute of Directors Diploma and master’s degree in International Relations from the University of Wroclaw.
Joel has worked in employee incentives for almost 14 years. He joined VG in 2018, leads its Employee Incentives offering and is a Director of several of its operating companies. He sets up and runs Employee Benefit Trusts, Corporate Nominee Arrangements and other employee incentive structures, and shows you how they work in practice. When a share-related transaction or a time-sensitive action lands, he coordinates every party involved and keeps your structure running efficiently, in line with governance and compliance requirements.
The proof? A new client needed the employee ownership side of a major M&A transaction delivered on a tight timeframe. Joel set up both an Employee Benefit Trust and a separate Nominee Arrangement, worked through a large volume of transactional documentation with the client and their advisers, and had both structures in place for completion. The share allocations to management went ahead as planned.
Joel works with companies from the FTSE-100 to high-growth businesses, alongside brokers, registrars, legal and tax advisers and in-house company secretarial, HR and reward teams. He is a Chartered Member of the CISI, holds the CGI Diploma in International Finance and Administration, and Is currently undertaking his studies with the Institute of Directors. Joel won the inaugural Trust and Corporate Services category at the Jersey Finance Rising Star awards in 2020.
Katherine has more than 20 years’ experience in corporate services and capital markets, with senior roles at Vistra, Capita, Link Group and D.F. King. At VG, she sets up UK, Irish and Jersey structures that work as well in practice as they do on paper. That might be an employee benefit trust to reward and keep your key people, an entity or holding structure ahead of a sale, refinancing or investment round, or a property vehicle from acquisition to exit. If you already have an entity in one of these jurisdictions and just need help keeping it compliant, she can take of that too. Alongside VG’s local experts, she handles the compliance, regulatory and banking requirements, so you don’t have to.
The proof? A significant client needed four tender offers run at once, across its equity and debt registers, on a tight timetable. Katherine led the project from appointment, bringing together operations, technology and legal specialists to build a market-first online platform. It was delivered within three weeks, and all four transactions completed on schedule.
Owners, management teams and investors, and their advisers in the UK, Ireland, Jersey and the Middle East, deal directly with Katherine, someone who knows how structures, investor services and regulation fit together.
